本文采用部分可观测的Bivariate Probit估计方法，对2001年至2009年中国1729

家上市公司进行回归检验，发现机构投资者持股比例越高，公司犯罪被稽查的可

能性越高，同时公司违规犯罪的倾向越低。该结论在控制了机构投资者变量内生

性的因素后仍旧稳健。进一步研究表明，机构投资者对信息披露违规的影响最强。

另外，非证券机构投资者对公司犯罪的边际影响更明显。除此以外，机构投资者

对公司犯罪的检举与抑制作用并不受到其他公司治理变量的影响。本文的研究表

明中国机构投资者在预防与打击上市公司违规犯罪方面发挥了重要的作用，并且

也为上市公司与监管部门提供了治理和防范企业犯罪的线索。

ABSTRACT

Based on the Bivariate Probit model with partial observation and the empirical

results of the 1729 Chinese listed firms over the period 2001-2009, this study finds that

institutional shareholding percentage is positively and significantly related to fraud

detection, and is negatively and significantly related to fraud propensity. The findings

are robust after addressing endogenous problems. Further investigation reveals that

institutional shareholding has a stronger impact on violations of information disclosure.

In addition, securities investment funds have a lower marginal effect on corporate

fraud than other institutional investors. Besides, the monitoring benefits from

institutional investors are independent from a firm’s internal governance. The findings

suggest that institutional investors help to prevent and reveal corporate fraud in China.

This study provides implications for institutional investors, firms and government in

acting against corporate fraud in China.
