摘 要：公司治理的模式和绩效受很多因素的影响，股权结构是其中很重要的因素，它在很大程度上影响公司控制权的配置及治理机制的运作方式，并在某种情况下影响甚至决定公司治理的效率。而股权结构又不是自发形成，它对一国的历史、文化特别是管制环境有很强的路径依赖性。股权结构的安排是整个公司治理框架的核心，合理的股权安排能够经由多种治理机制提高公司绩效。在我国国有企业改革的进程中，产权改革是基本逻辑思路，股权结构和公司绩效之间的关系也成为近几年来学术界研究的热点问题之一。伴随现代技术进步和金融市场的发展，一种新的产业形式,以技术和知识为主导要素的高科技产业迅猛发展，并成为带动国家经济增长的主导产业。

Equity structure and corporation governance
Abstract: Corporate governance modes and performance is affected by many factors, the ownership structure is one of the important factors, which greatly influence the configuration and control of company governance mode of operation, and in some cases even decisions of corporate governance efficiency. And ownership structure and spontaneous, it is one of the history, culture, especially the control environment has strong path dependence. Equity structure arrangement is the core of corporate governance framework, reasonable arrangement of the equity of governance mechanism through improving performance. In the process of the reform of state-owned enterprises, the reform of property right is the basic logic thinking, the ownership structure and corporate performance of the relationship between the academic research in recent years has become one of the hot issues. With modern technology progress and development of financial market, a kind of new industries - to technology and knowledge as the leading factor, the rapid development of high-tech industry and a national economic growth of leading industry.
